Composition of Loihde’s Shareholders' Nomination Board

 On 6 May 2021, the Annual General Meeting (“AGM”) of Loihde Plc ("Loihde") resolved to establish a Shareholders' Nomination Board. The Nomination Board will prepare proposals to Loihde’s AGM concerning the number, election and remuneration of Board members. 

According to the rules of procedure adopted at the AGM, the five largest shareholders of the company are each entitled to appoint one member to the Nomination Board. When determining the largest shareholders, so-called proxy shareholders who are entitled to represent one or more other shareholders of the company at the company’s general meetings and who have submitted a written request to this effect to the Chairperson of the Board of Directors by the end of August are also taken into account in this context. Four proxy shareholders made such requests to the Chair of the Board and they were found to be entitled to appoint their representatives to the Nomination Board on the basis of the total number of shares held by the shareholders that they represent.

The following members have been appointed to Loihde’s Shareholders’ Nomination Board: 

  • Jussi Hattula, appointed by Finnish Industry Investment Ltd, 
  • Matti Kulmakorpi, appointed by Tuulia Holkkola,
  • Tuulia Holkkola, appointed by Matti Kulmakorpi,
  • Vesa Puttonen, appointed by Vesa Puttonen, and 
  • Petri Tuutti, appointed by Petri Tuutti. 

Timo Kotilainen, Chair of Loihde’s Board of Directors, serves as an expert member of the Nomination Board without the right to participate in the decision-making.
